Private thinking behind the Aspire ↔ Jr Pacers arrangement. None of this is said to the board — the board only sees the high-level items on the agenda. This is the record of why.
Aspire ↔ Jr Pacers — the decision
- No money moves, either direction. Aspire donates all digital assets in-kind; in exchange, sponsor recognition at the 🏅 Playoffs level ($1,000 value) in lieu of paying cash. This is the cleanest structure — it sidesteps self-dealing entirely. Chris is not charging the club and no money flows to Chris (that's the exact "shady" optics he wants to avoid).
- Chris stays on the board — not resigning. Resigning would make it worse: it loses the value of his seat and converts an insider donating time into an arm's-length vendor, which invites more scrutiny, not less. The right posture is stay + disclose + recuse + minute.
- Tax: do not try to deduct donated hours. Services aren't deductible and forgone profit never is (the baker deducts the flour, not the loaf). Deductible = hard costs (domains, hosting, software) + treating the exposure as a marketing expense. Confirm the mechanics with the CPA. Do not bill the club.
- Asset framing: jrpacers.org is a community youth-sports hub provided by Aspire Digital — not an Aspire commercial property. Aspire's commercial home stays madebyaspire.com. Any future paid/commercial elements (ads, paid listings) live on the madebyaspire.com side; jrpacers.org stays community + sponsor acknowledgments only.
- Ownership is not stated publicly. Chris owns jrpacers.org (the club never bought it; it reimbursed the ~$10 jrpacersfootball.com a couple of years, not recently). He gets to set the hub direction because he owns it, but he informs the board rather than asserting authority out loud.
- Hub direction: points outward to the community's programs; featured content rotates by season; football/cheer are not permanently front-and-center.
- Cheer domain: jrpacersCheer.com is confirmed available. Chris pays out of pocket only if Kali sees cheer growing into its own program beyond football; otherwise cheer stays on the main site.
- Trademark: dead. Not pursuing "Jr Pacers" — it's the shared Delaware Pacers district identity, multiple clubs use it. Dismissed, recorded in the 6/22 minutes, no follow-up. Do not raise again.
- Dittmer: on hold (Chris, 7/13). Comfortable with Aria advising + Chris deciding for this class of item; revisit engaging Dittmer later if something grows real legal/tax teeth.
Carry items NOT on Natasha's agenda — your call whether to raise
Natasha's official agenda supersedes ours. These were on our version and she didn't include them. I kept the board agenda aligned to hers, and moved these here for you to decide: raise under Open Floor tonight, or defer.
- ⚠️ Sadler insurance renewal (due 7/30) — I re-added this one to the board agenda as a safety-net flag. Season-critical: no coverage = no season. Pull it if you'd rather handle it with Tylor offline.
- Bylaws reconciliation / re-engage Dittmer — TJ takes office Jan 2027; clean docs matter. (On hold per above.)
- Ohio AG charitable registration — portal flags out of compliance; follow-up sent, awaiting reply.
- 2027 leadership / nominations — VP + Secretary seats open; start a real process.
- FY2027 budget — waiting on Kevin's FY2026 bank statements.
- Policies first read — CoI / SafeSport / document-retention drafts.
Where this stands
You handed me the drawer and a NAS folder. I've read the legal record, the 2026 board minutes,
the sponsorship + parent packets, and crawled the live site — so I'm up to speed on the
organization itself. What's left is the context only you (and a couple of board members) hold,
plus the account access to actually operate. That's what the questions below pull out. Once I have
them, the next move is the website rebuild, staged for your review before it ever goes live.

●The "tax ID / idea theft" concern
The 4/13 minutes flag an urgent question: "Can the club take legal action if anyone steals our ideas/information/uses our tax ID?" What actually happened here? Is someone misusing the EIN or copying the org? This reads as the most serious item — I want the full story.
●990-N filing status
Has the FY2025 e-Postcard been filed and accepted (it was due May 15, 2026)? Three consecutive misses auto-revokes the 501(c)(3). Want me to verify on the IRS Tax-Exempt Org Search?
●Insurance
I see no liability or accident policy in the docs. Does the club carry general liability + participant accident coverage? For a contact-sport youth org this is the single biggest exposure. If not, it jumps to the top of the list.
●Re-engage the attorney (Jeff Dittmer / DWS Law)
Found it in your Gmail: Jeffrey Dittmer ([email protected]) was reviewing the Articles + Bylaws (~$500, no retainer) and paused when you left for vacation in late March — nothing since. Want me to draft the note that restarts it and assemble the full document package, so his review is a 30-minute handoff?
●Domain renewal — possible lapse around June 16
Your Porkbun account got an "expiring in 5 days or less" notice on 6/11. A March renewal succeeded so auto-renew looks on, but a dropped jrpacers.org / jrpacersfootball.com takes the site AND email down. I have Porkbun access and will verify which domains are affected — flagging so it is on your radar.
Exact legal entity name
Bylaws say "Jr Pacers Football"; IRS says "Jr Pacers Youth Football & Cheer"; the site brands "...Inc." Which is the registered Ohio entity name? Affects banking, forms, and site footer consistency.

Minutes suggest the club may have 2 Venmo accounts and wants to consolidate to 1. Confirm — which stays, and who controls them?
Budget
Is there a real annual budget doc, or is it run ad-hoc? (The Finance/Budget folder on the NAS is empty scaffolding.)
